1. Agreement to Terms

By accessing or using Reels GenAi ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Reels GenAi. We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the updated Terms.

2. Description of Service

Reels GenAi is an AI-powered platform that enables users to:

• Generate video content using artificial intelligence
• Manage and publish content across multiple social media platforms (Instagram, Facebook, YouTube, LinkedIn, TikTok)
• Connect and manage social media accounts
• Access analytics and performance metrics
• Store and manage created content

The Service is offered on a subscription basis with different plan tiers (Free, Starter, Pro, Enterprise) with varying features and usage limits.

3. Account Registration

3.1 Eligibility

You must be at least 13 years of age to create an account. By creating an account, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. You are liable for any activities conducted through your account, whether or not you authorized those activities.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

• Subscription fees are billed in advance on a recurring basis
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law
• We reserve the right to suspend or terminate service for non-payment

4.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial months or unused portions of your subscription.

5. Acceptable Use Policy

5.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You must not:

• Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Violate any local, state, national, or international law
• Infringe upon intellectual property rights of others
• Generate deepfakes, misinformation, or deceptive content
• Use the Service to harass, stalk, or harm others
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to abuse or overload the Service
• Reverse engineer or attempt to extract our AI models or algorithms
• Create accounts for fraudulent or deceptive purposes

5.3 Content Moderation

We reserve the right to review, moderate, or remove any content generated or published through our Service that violates these Terms or applicable laws. We may also suspend or terminate accounts that repeatedly violate our policies.

6. Intellectual Property

6.1 Service Ownership

The Service, including all technology, software, AI models, algorithms, and designs, is owned by Reels GenAi and is protected by intellectual property laws. You do not acquire any ownership rights in the Service except as expressly stated in these Terms.

6.2 Your Content

You retain ownership of content you create using our Service ("Your Content"). By using the Service, you grant us a license to:

• Store, process, and deliver Your Content
• Publish Your Content to connected social media platforms
• Analyze Your Content to improve our services

6.3 Generated Content

You own the videos and content generated using our AI tools, subject to your compliance with these Terms. However, you agree not to remove or modify any attribution or watermarks that may be required by your subscription plan.

7. Social Media Integration

7.1 Third-Party Platforms

Our Service integrates with third-party social media platforms. Your use of these integrations is subject to each platform's terms of service and policies. We are not responsible for:

• Content removal or account suspension by social media platforms
• Changes to platform APIs or policies that affect our Service
• Platform outages or technical issues

7.2 OAuth Credentials

When you connect a social media account, you authorize us to access certain information and perform actions on your behalf. You may revoke this authorization at any time through your account settings or the respective platform's settings.

8. AI Content Generation

8.1 AI Limitations

Our AI-generated content may contain inaccuracies, errors, or unexpected results. You are responsible for reviewing all generated content before publication.

8.2 Content Responsibility

You are solely responsible for all content you generate and publish using our Service. This includes ensuring compliance with:

• Copyright and trademark laws
• Platform-specific content policies
• Advertising disclosure requirements
• Applicable consumer protection laws

8.3 Indemnification

You agree to indemnify and hold harmless Reels GenAi from any claims, damages, or expenses arising from your use of generated content or your violation of these Terms.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

1. Going to Settings > Privacy & Data
2. Clicking "Delete Account"
3. Confirming with your password

9.2 Termination by Us

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Non-payment of subscription fees
• Extended period of inactivity (365 days)
• Discontinuation of the Service

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will permanently delete your account data within 30 days of termination. You will not be entitled to any refund of fees already paid.

10. Disclaimers & Warranties

10.1 "AS IS" Service

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Freedom from viruses or other harmful components
• Accuracy, reliability, or availability of the Service

10.2 No Guarantees

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee that AI-generated content will meet your requirements or expectations.

11. Limitation of Liability

To the maximum extent permitted by law, Reels GenAi shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid in the past 12 months
• Third-party actions or content

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not fully apply to you.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which Reels GenAi is established, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You and Reels GenAi agree to waive any right to a jury trial.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Reels GenAi regarding the Service. These Terms supersede any prior agreements or communications.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign or transfer our rights and obligations without restriction.
